Introduction

This book, 3Ps of Corporate Governance: Principles, Policies and Practices, is written as a contribution to the corporate governance milieu.

Governance has been everywhere since Adam and Eve! It is in the village, city and it is in the household – between husband, wife and children, there is governance.

However, the focus of this book is the governance of corporate entities, whether private, public or not-for-profit.

It was in June 2015 when my then employer, Global Mandate Consulting Limited, was engaged to carry out the governance audit & board evaluation of a public company in Lagos that I began to reflect on writing a book on corporate governance. In fact, the title of this book was determined in that year 2015. The assignment was ably led by Ms Daisy Ekineh, our company’s chief operating officer, a former Acting Director General, Securities and Exchange Commission (SEC); included in the team was Mr Ibrahim Bolaji Bello, Executive Director (Operation), and a former Acting Director General of SEC. I was the general manager with responsibilities for corporate governance and secretarial services.

We conducted a thorough governance audit and board evaluation of the company and we wrote a report that was well accepted by both the company and its regulator. I had the good fortune to be given the responsibility to write the report.

With the so many things that board members of a company should know, be aware of and practise, and with so many questions that they may need to ask, to be able to perform their roles as directors for the success of the company, I decided that I should avail my knowledge and experience in this field to the teeming population of board members who may only go to board meetings for the membership and pay attention to other responsibilities and liabilities that are embedded in being a director.

It is important to state here that to have a good corporate governance regime in any company, its board must be an effective one. The ingredients of an effective board are very good policies to guide various strata of management to assist the board itself to supervise the overall management.

These are some of the policies that the board must set for effective running of the company, viz: labour/employees’ management policies, treatment of employees, training, appointment, appraisal, retirement and removal procedures, whistle-blowing policy, with hotline procedures which allow any employee to report misdemeanors without being afraid of sanctions;and of course, corporate social responsibility (CSR) policy. The essence of these polices which are expected to be understood by the management and the board of a company are captured in this book.

Directors should promote the success of their company and must demonstrate entrepreneurial leadership for the sustainability of the company. This will result in the overall interest of other stakeholders. The book will help in this regard as it includes all relevant regulations, provisions of the law (the Companies and Allied Matters Act (CAMA) 2020) and the Nigerian Code of Corporate Governance (NCCG) 2018.

This book is a must-have for students writing final qualifying examinations of the Institute of Chartered Secretaries and Administrators of Nigeria (ICSAN) leading to the award of degrees in corporate governance and students of other professional bodies that have corporate governance as a course.
