The Institute of Chartered Secretaries and Administrators of Nigeria (ICSAN) is a foremost and recognized professional body in Nigeria dedicated to enhancing the status and practice of Corporate Governance, and Company Secretaryship as provided in the Companies and Allied Matters Act 2020.

The Institute is a member of Corporate Secretaries International Association (CSIA) and is the only professional body authorized in Nigeria to conduct examinations leading to the qualification of Chartered Secretaries and Administrators.

Introduction

The Company Secretary’s role, which is central to governance systems, has evolved over time.
While board meeting minutes are still important, the Company Secretary’s function now
includes understanding local and international economic and regulatory trends as well as how
these trends can be implemented in organisations to ensure efficiency and best practices.
This training aims to revisit the duties of a Company Secretary in the twenty-first century,
regardless of the company they work for, as well as the skills required to ensure that the
organisation’s overall welfare is properly taken into account. This will be done by not only
ensuring compliance but to also help participants foster the right culture to ensure that proper
corporate Governance structures are in place.

Executive Overview

The Company Secretary plays an important role in supporting the effectiveness of the Board by assisting the Board and management to develop good corporate governance practices and culture within the Company.

In order to play his/her role functionally and administratively very well, he/she needs to have a good knowledge, exposure and experience required to perform the roles.
