NOTICE OF THE 46TH ANNUAL GENERAL MEETING

NOTICE IS HEREBY GIVEN that the 46th Annual General Meeting of the Institute of Chartered Secretaries and Administrators of Nigeria (ICSAN) will take place as stated below:

Date: Thursday, 9 July 2020
Venue: National Secretariat, Plot 6, Elephant Cement Way, Alausa, Lagos
Time: 11.00am

Agenda

1. To lay before the members at the Annual General Meeting the Report of the Council, the Financial Statements of the Institute for the year ended 31 December 2019 and the Reports of the Auditors and Audit Committee thereon.

2. To elect / re-elect members of Council

3. To appoint a new Auditor to replace the retiring Paul Taiwo & Co (Chartered Accountants). Notice is hereby given that the new audit firm to be appointed is Oyetade John & Co (Chartered Accountants)

4. To authorize the Council to fix the remuneration of the Auditor

5. To consider and approve the change of name from the “Institute of Chartered Secretaries and Administrators of Nigeria” to “Chartered Governance Institute of Nigeria” in view of the expanded roles of our members in corporate governance, change of name of other sister-institutes globally and make the following consequential amendments to the Institute of Chartered Secretaries and Administrators of Nigeria Act, CAP I13, Laws of the Federation of Nigeria, 2004:

a) Section 1 to be changed from “Establishment of the Institute of Chartered Secretaries and Administrators of Nigeria” to “Establishment of the “Chartered Governance Institute of Nigeria”

b) “Institute of Chartered Secretaries and Administrators of Nigeria” in “Section 1 (1) and in any part of the Act to be changed to “Chartered Governance Institute of Nigeria”

c) Change the phrase “Chartered Secretaryship and Administrators” in Section 1(1) (a) to “Institute”

d) “Chartered Secretaries and Administrators” “Sections 1(1) (b); 1(4) (a) to be changed to “Chartered Governance Professionals, Chartered Secretaries, Administrators, Corporate Governance Evaluators, Board Evaluation Consultants, Compliance Managers and other related roles”

e) The designatory letters of members in Section 1(6) to be changed from: “(a) Fellows of the Institute of Chartered Secretaries and Administrators shall be “FCIS” to “Fellows of the Chartered Governance Institute of Nigeria shall be “FCGI” “(b) Associates of the Institute of Chartered Secretaries and Administrators shall be “ACIS” to “Associates of the Chartered Governance Institute of Nigeria shall be “ACGI” “(c) Graduates of the Institute of Chartered Secretaries and Administrators shall be “Grad ICSA” which shall be a temporary grade, during which a member may either apply for membership as an associate or fellow of the Institute” to “Graduates of the Chartered Governance Institute of Nigeria shall be “Grad CGI” which shall be a temporary grade, during which a member may apply for membership as an associate of the Institute”

f) Section 4(3) (c) to be changed from “such reasonable travelling and subsistence allowance of members of the Council in respect of the time spent on the duties of the Council as the Council may, with the approval of the Minister, determine” to “such reasonable travelling and subsistence allowance of members of the Council in respect of the time spent on the duties of the Council as the Council may determine”

g) “Six months” in Section 6(6) (c) within which the Registrar may remove the names of members in default of annual subscription to be changed to “two years”

h) Section 7 (1) (a) to be changed from “to cause the register to be printed, published and put on sale to members of the public not later than two years from the appointed day” to “to cause the register to be printed, published and made accessible to its members and of the public not later than two years from the appointed day”

i) The heading of Section 8 to be changed from “Registration of Chartered Secretaries and Administrators” to “Registration of Members”; while “Chartered Secretaries and Administrators” in Section 8(1) to be replaced with “Members of the Institute”

Notes:

a) Financial members of the Institute are entitled to attend the meeting. Voting to elect the members of the Council will be done electronically before the date of the AGM and only financial members are eligible to vote and be voted for.

b) Members wishing to seek election into the Council must be supported by two financial members, one of whom must be a Fellow of the Institute and such interest must be received at the Institute’s Secretariat on or before Friday, 30th June, 2020. Interested and eligible members should download the Nomination Form into Council from the Institute’s website www.icsan.org

c) In view of the restriction on mass gatherings as directed by the government in order to reduce the spread of COVID-19, members are required to register, join and participate at the meeting via Zoom with the link to be communicated to them in due course.

d) Members are to note that attendance at the Annual General Meeting attracts 1 credit point.
